Kingstonian FC and Kingstonian Supporters Club have been exploring opportunities for fans to have a stake as shared owners of the Football Club and to be actively involved in its operation and future development.
A Working Group has been established to take this initiative forward and will table a proposal at the next AGM of Kingstonian Supporters Club, at which the Supporters Club will recommend to their members that they convert to become a Supporters Trust [Community Benefit Society], capable of owning shares and nominating Supporter Representatives as Directors of Kingstonian FC.
Once a Supporters Trust has been formed, it is the intention that the Trust and the Football Club agree a Memorandum of Understanding to provide the basis for future collaboration. (This will be published in draft form prior to the AGM.)
The Football Club has affirmed that it will be happy to appoint a number of Supporter Representatives as Directors nominated by the Supporters Trust. Those appointed will be full Directors of the Football Club. Votes at the Board of Directors will be on the basis of one vote per person. Votes weighted according to the percentage of ownership will apply only at general meetings of shareholders.
As part of efforts to engage fans in the running of the Club, regular open forum meetings will be held, organised jointly by the Supporters Trust and the Football Club.
Supporters Club President Shaun Luzio adds: “Following a number of months of discussions between the Football Club and the Supporters Club, we’re now in the position where a Kingstonian Supporters Trust with part ownership of Kingstonian Football Club is becoming a real possibility.
“There will be a lot of work involved in making this happen and then running the trust, and we ask all Kingstonian supporters for their backing. Not only will we need supporters to stand on the Trust's committee, or stand for election to the main Football Club board - we encourage all supporters to join the trust, to have a stake in the Club and a say in how it’s run.
“The club that is so close to our hearts has existed for 140 years - now we must all work together to ensure there’s a Kingstonian Football Club of the future!”

How will financial liability to be determined (who is on the hook and for how much?) ie will trust members be liable for future/current debts, should they occur equating to the % of Trust ownership of the club.
How will a separation between the current arrangement (point a) and the new arrangement (point b) be managed, both in theory and in practice? This of course assumes that the new Trust aren’t on the hook for existing liabilities prior to taking an ownership stake in the club. The easiest way at would be for Ks (2020) or whatever the current ownership company is called to be dissolved with debts cleared by the current sturucture, and new Ks (2025) company reflecting the new ownership taking control.
Trust the documents produced prior to the vote will address such crucial issues.

Thank you for your input. I'm waiting for the precise form of wording, but the general principle is that liability for ordinary members of a CBS (Community Benefit Society) is capped at the amount they have invested. Most members accept that their contributions will never be returned to them - but they attract no further liability. (A CBS can choose to pay interest on members contributions, although I can't see this ever happening at Ks!)
The liability of the Trust on the other hand, would depend on the Articles of Association of the Club, and how it is set up - whether it's a company limited by guarantee, company limited by shares, and so forth.
Yes, we will provide as much information as possible before any vote at the AGM.

Who is on the working group?
I don't know if this is thinking too far ahead or might not be relevant but will a "trust" be able to still be independent (whilst working together) from the club?
It's obviously an absolutely seismic shift from the position of the SC and the club from only a couple of months ago and hopefully positive moves forward for everyone.

Apologies that a mild sense of humour isnae allowed, am sure the snowflakes will protect ya in the future.
For the record, no idea who is on the working group but Ekins 100% should be there, Ian Gray too - as the 2 that have openly admitted it. Same goes for many others, including I’ve had disagreements with the past, am sure they will represent Ks supporters with conviction.

The Working Group seeks to represent and reflect the views of the widest possible Ks constituency, and we're pleased to include Directors, the Supporters Club, S Club members and non-members, young and old(er) and fans from near and far.
